Serafino Iacono, Chief Executive Officer and Director

Mr. Iacono has over thirty years of experience in capital markets and public companies and has raised more than four billion dollars for numerous natural resource projects internationally. A co-founder of Gran Colombia Gold Corp., he serves as its Executive Chairman. Mr. Iacono is currently Chairman of Western Atlas Resources Inc., a former Co‑Chairman and Executive Director of Pacific Exploration and Production Corp., and a former director of Petromagdalena Energy Corp. Mr. Iacono was also a co‑founder of Bolivar Gold Corp. and Pacific Stratus Energy, among others, and is involved in numerous resource and business ventures in Latin America, Canada and United States.

Miguel de la Campa, Director

Mr. de la Campa has been the Vice Chairman of the board of directors of Gran Colombia since March 27, 2019 and previously was the Executive Co-Chairman of the board of directors of Gran Colombia from August 20, 2010. Mr. de la Campa also was the Co-Chairman of the board of Pacific Exploration & Production Corporation from January 23, 2008 to November 2, 2016. Previously, Mr. de la Campa was the President and co-founder of Bolivar Gold Corp., a director of Petromagdalena Energy Corp. and a cofounder of Pacific Stratus Energy Corp.

Lombardo Paredes, President and Director

Mr. Paredes is currently the Chief Executive Officer of Gran Colombia Gold and brings more than 20 years of corporate leadership and operations management experience in the resource sector in Latin America. Before becoming an independent consultant on energy and environmental project development, Mr. Paredes held several roles with within Petroleos de Venezuela (PDVSA). He was responsible for regional planning of investments and social development for Eastern Venezuela and was Managing Director and a Board Member of Maraven S.A. (an affiliate of PDVSA), with responsibility for the construction and commissioning of the Cardon Refinery Conversion Project in Venezuela, a US$2.6 billion project. He was also General Manager of its Production Operations - 2 - Division, with 5,000 employees and oil production of 800,000 barrels per day. Mr. Paredes holds Bachelor of Science in Mechanical Engineering and Master of Economic Analysis and Financial Economics degrees.

Hernan Juan Jose Martinez Torres, Director

Mr. Martinez, an independent director of Gran Colombia Gold, serves as the Executive Chairman and a director of Caribbean Resources Corporation and previously served as a director of Pacific Exploration & Production Corporation. Mr. Martinez was Minister of Mines (Colombia) from 2006 to 2010 and his extensive background includes roles with Atunec S.A. and Exxon Mobil Colombia S.A.

Robert Doyle, Director

Mr. Doyle has over 40 years of experience in all facets of international resource exploration, development and production. Mr. Doyle is a director of Golden Star Resources Ltd. and Mandalay Resources Corporation. Previously, Mr. Doyle was Chief Executive Officer of Medoro Resources Limited and was the Chief Financial Officer of several companies including Pacific Stratus Energy Corp., Coalcorp Mining Inc., Bolivar Gold Corp., HMZ Metals Inc., LAC Minerals and Falconbridge Limited. In addition, he was previously a gold market analyst at RBC Capital Markets and Credit Suisse First Boston. Mr. Doyle holds CPA, CA and C.Dir designations and graduated with an HBA in Business Administration from the Ivey School of Business, University of Western Ontario.

Belinda Labatte, Director

Ms. Labatte has served as the Chief Development Officer of Mandalay Resources since April 2017 and on the board of directors of Rambler Metals and Mining since 2016. She founded The Capital Lab Inc. in 2005 and has served on the board of directors of the Prospectors and Developers Association of Canada since March 2015. Ms. Labatte has an MBA from the Rotman School of Management, University of Toronto and is a CFA charter holder. Ms. Labatte has extensive experience with global IR and capital markets advisory mandates, transaction negotiations and implementing corporate responsibility, risk and crisis management strategies within the extractive sector. She has been a member of the Institute of Corporate Directors and has held the ICD.D designation since June 2018.

Humberto Calderon Berti, Director

Mr. Calderon was the Ambassador of Venezuela in Colombia from February 2011 to 2019. Prior thereto he was the President of the board of directors of VETRA E&P Colombia from 2015 to 2019 and the President of VETRA ENERGIA SL from 2003 to 2015. Mr. Calderon previously served as the President of Petróleos de Venezuela, S.A. from 1983 to 1984, the Minister of Mines and Hydrocarbons in Venezuela from 1979 to 1983 and the President of the Organization of Petroleum Exporting Countries (OPEC) from 1979 to 1980. Mr. Calderon is a Geologist with a M.Sc. in Petroleum Engineering.

Audit Committee Charter

The overall purpose of the Audit Committee is to ensure that the company’s management has designed and implemented an effective system of internal financial controls, to review and report on the integrity of its consolidated financial statements and related financial information, and to review the company’s compliance with regulatory and statutory requirements as they relate to financial statements, taxation matters and disclosure of financial information. In performing its duties, the committee maintains effective working relationships with the board of directors, management and the external auditors, and monitoring the independence of those auditors.

Compensation, Corporate Governance and Nominating Committee

Compensation, Corporate Governance and Nominating Committee Charter

The Compensation, Corporate Governance and Nominating Committee is a standing committee appointed by the Board of directors that is responsible for overseeing and assessing the functioning of the Board and its committees, and for the development, recommendation to the Board, implementation and assessment of effective corporate governance principles. It is also responsible for employee and executive compensation including the remuneration philosophy and programs, with specific responsibility for approving stock option grants and bonus payments; management development and succession planning; Board compensation; Executive Committee member compensation; and broadly applicable compensation and benefit programs. The committee is also responsible for identifying candidates for nomination as a director and recommending that the Board select qualified candidates for election at the annual meeting of shareholders.
